By accessing, enrolling in, or using any online learning content provided by Upper Albany Main Street (“UAMS”), you agree to the terms outlined in this Use of Materials Agreement.

Ownership of Materials
All course materials provided through UAMS online learning programs—including but not limited to videos, written content, presentations, worksheets, assessments, templates, graphics, and downloadable resources—are the intellectual property of Upper Albany Main Street and are protected under United States copyright and intellectual property laws. -
Permitted Use
UAMS materials are provided solely for personal, educational, and non-commercial use by registered participants of UAMS programs. Participants may view, download, and print materials only for their own learning purposes while actively enrolled in the program. -
Prohibited Use
Participants may not copy, reproduce, distribute, share, publish, upload, transmit, modify, sell, sublicense, or otherwise exploit UAMS materials in whole or in part without prior written permission from Upper Albany Main Street. This includes, but is not limited to, sharing materials with non-participants, posting content online, or using materials for commercial, instructional, or organizational purposes outside of UAMS. -
Recording and Redistribution
Participants may not record, screen capture, photograph, or otherwise reproduce live or recorded instructional sessions, presentations, or discussions unless explicitly authorized by UAMS in writing. -
Termination of Access
UAMS reserves the right to revoke access to online learning materials at any time if this agreement is violated. Unauthorized use may also result in removal from the program and potential legal action. -
No Transfer of Rights
Participation in a UAMS program does not grant ownership, license, or transfer of any intellectual property rights to the participant beyond the limited use expressly stated in this agreement. -
Agreement Acknowledgment
By accessing UAMS online learning materials, you acknowledge that you have read, understood, and agreed to comply with this Use of Materials Agreement.
